Terms of Service

These Terms of Service ("Terms") govern the use of the Mantralyte website, web application and Android mobile app (together, the "Service"), operated by Tuki Soft Private Limited ("Mantralyte", "we", "us"). By creating an account or using the Service, an institute ("Institute", "you") agrees to these Terms.

1. The Service

Mantralyte is institute-management software: admissions, attendance, fees, double-entry accounting, certificates and reports, delivered as a web app and an Android app for staff on the move. Mantralyte is deliberately not an e-learning platform — course content, video and quizzes are handled by our separate product, Mantra LMS, under its own terms, and are only connected to your Mantralyte account if you choose to sync them.

2. Accounts & responsibilities

• You must provide accurate information when creating an account, and keep your login credentials confidential. You're responsible for activity under your account.
• You're responsible for the accuracy of the student, staff and financial data your Institute enters, and for having any consent needed to enter it — including guardian consent for students who are minors.
• Roles and permissions you assign to your staff determine what they can see and do inside your account; you're responsible for assigning them appropriately.
• To keep accounts secure, Mantralyte may limit each staff login to one active device at a time.

3. Subscriptions, billing & free trial

• New Institutes get a one-month free trial with full access to the Service, no card required.
• After the trial, continued use requires an active paid plan. Plans are billed monthly at a flat rate based on Institute size (students, staff, branches), as shown on our pricing page at the time of purchase.
• Payments are accepted by QR, bank transfer or NepalPay. Your subscription is active once we can confirm payment.
• If a subscription lapses, your account moves to read-only access rather than being deleted, so you can export your data or pay to resume full access.
• Fees already paid are non-refundable except where required by law or where we agree otherwise in writing.

4. Acceptable use

You agree not to:

• Use the Service for anything unlawful, or to store data you don't have the right to hold.
• Attempt to reverse engineer, decompile, or gain unauthorised access to the Service or another Institute's data.
• Resell, sublicense or provide access to the Service to anyone outside your own Institute without our written consent.
• Interfere with the Service's normal operation, including through automated scraping or attempts to bypass rate limits or security controls.

5. Your data

Your Institute owns the student, staff and financial data it enters into Mantralyte. We process it only to provide the Service, as described in our Privacy Policy. You can export your data at any time from within the app. If you close your account, we retain your data for a reasonable period in case you wish to reactivate, then delete or anonymise it, except where we must keep financial records longer under applicable law.

6. Intellectual property

The Mantralyte software, branding and design are owned by Tuki Soft Private Limited. These Terms give you the right to use the Service for your Institute's own operations — they don't transfer any ownership of the software itself to you.

7. Service availability

We aim to keep the Service available and reliable, but we don't guarantee it will be uninterrupted or error-free. We may occasionally take the Service down briefly for maintenance or updates, and will do so at times intended to minimise disruption where practical.

8. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate an account that breaches these Terms, doesn't pay for an active subscription, or where we reasonably believe it's being used unlawfully or to harm the Service or other users. Where practical, we'll give notice and a chance to export your data first.

9. Disclaimer & limitation of liability

The Service is provided "as is." To the extent permitted by law, Mantralyte is not liable for indirect, incidental or consequential damages arising from use of the Service, and our total liability for any claim is limited to the subscription fees you paid us in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited under Nepali law.

10. Governing law

These Terms are governed by the laws of Nepal, and any dispute arising from them will be subject to the exclusive jurisdiction of the courts of Nepal.

11. Changes to these Terms

We may update these Terms as the Service evolves. If we make a material change, we'll update the "Last updated" date above and, where appropriate, notify Institute admins directly. Continued use of the Service after a change takes effect means you accept the updated Terms.
